A substantial portion of my time is focused on providing legal counsel, advice and services to insurance companies and agencies on corporate, regulatory and transactional matters. I have represented insurance companies in transactions and related regulatory proceedings involving licensing and authorization; mergers, acquisitions of control, and demutualization’s; rate and policy form filings; compliance matters; market conduct examinations; and holding company filings.  My work on behalf of insurance agencies includes the provisions of legal services with respect to corporate and limited liability organization; licensing; acquisitions, mergers, sales, and perpetuation; preparation of employment and brokerage contracts; and compliance matters. By reason of my work at Lexington Insurance Company and AIG, I have significant and unique experience with respect to insurer and brokerage surplus lines issues.

Though I am not a litigator, I work with my clients to recognize, understand and avoid business situations and circumstances that may give rise to lawsuits.  Where a client may unfortunately be involved in a lawsuit, I assist the Ferriter Scobbo attorneys who are skilled in handling litigation matters to address the issues involved.  I have significant experience representing insurance companies and agencies in insurance department administrative hearings concerning holding company issues and compliance matters.

I advise my clients on how current and proposed statutes and regulations impact and effect their business operations, and how to transact business in compliance with applicable law.  I have drafted insurance-related legislation and regulations on behalf of insurers and agencies.  During my tenure with Lexington Insurance Company and AIG I was involved in the preparation and negotiation of legislation in California and Texas that modified longstanding requirements in those states concerning surplus lines brokerage filings.

I am married with two adult daughters and three grandchildren.  I have resided – and continue to reside -- in Foxborough, Massachusetts, where I have been actively involved in various community and municipal activities.  The latter includes more than twenty years of service on the Town of Foxborough Zoning Board of Appeals, of which I currently serve as chairman.
